Smartcare Finance seeks listing of new €11 Million Secured Bond Issue

Smartcare Finance plc has applied to the Malta Financial Services Authority for authorisation for the admissibility to listing of a new €11 million secured bond issue.

The proposed bonds are expected to mature in 2036, subject to the necessary regulatory approvals.

Admission to Official List sought

If approved, Smartcare Finance intends to have the bonds admitted to the Official List of the Malta Stock Exchange, where they will subsequently be traded on the regulated market.

While Smartcare Finance confirmed its intention to proceed with the €11 million bond issue, the announcement stopped short of providing the full commercial terms. Investors will need to wait for the prospectus, which is will outline the terms and conditions of the bond including details such as the coupon rate, security arrangements and other key features of the offering.

Proposed issue moves into regulatory process

The application marks the latest step in Smartcare Finance’s use of Malta’s capital markets. Since its first bond issue on Prospects MTF in 2019, the company has returned to the market on a number of occasions, including secured bond issues in 2021 and 2022, reflecting its established track record as a debt issuer.

While the latest announcement signals the group’s intention to raise fresh capital through a new €11 million secured bond issue, investors will need to wait for the prospectus before assessing the opportunity in detail. The prospectus is expected to outline the security backing the bonds, the intended use of proceeds, and the financial strength of the issuer and any guarantors supporting the issue, all of which will be key considerations in evaluating the investment.
