PG shareholders to vote on annual accounts and proposed constitutional changes
AGM scheduled for 27 October
PG plc will hold its 10th Annual General Meeting on 27 October 2026, where shareholders will be asked to approve the group’s financial statements and proposed changes to its Memorandum and Articles of Association.
The meeting will take place at the Westin Dragonara Resort in St Julian’s at 17:00, as confirmed in company announcement 115/2026.
Financial results to be presented to shareholders
One of the main items on the agenda is the approval of PG’s audited financial statements for the year ended 30 April 2026.
The Group, which operates the PAVI and PAMA shopping complexes as well as Zara and Zara Home in Malta, reported a 9.3% increase in revenue to €220.8 million.
Sales were supported by higher customer footfall and a strong performance from the fashion business.
Despite the increase in revenue, operating profit fell by 5% to around €17.1 million as higher costs put pressure on margins. Profit after tax, however, rose by 4.6% to €13 million.
The Group also paid shareholders total net dividends of €7.25 million for the financial year.
Changes to company rules also on the agenda
Shareholders will also be asked to approve the reappointment of PricewaterhouseCoopers as the Company’s auditor and cast an advisory vote on the remuneration report.
Another item on the agenda is a proposed update to PG’s Memorandum and Articles of Association.
Shareholders will vote on an extraordinary resolution to replace the existing documents with revised versions, which set out the rules governing the Company’s structure and operations.
