M&Z plc publishes major shareholding notification
Change in major shareholdings
M&Z plc has announced a change in its shareholder register following an internal redistribution of M&Z plc shares that were previously held through Vadala Holdings Limited.
As a result of the transaction, Thomas Agius Vadala and John Agius Vadala each increased their direct holding in M&Z plc from 2,103,750 shares to 2,433,750 shares.
Voting rights exceed regulatory threshold
The increase means that both shareholders now hold 5.53% of the Company’s voting rights, up from 4.95% previously. In doing so, they have each crossed the 5% threshold that triggers a major holdings notification under Malta’s Capital Market Rules.
Internal reorganisation of existing shares
The transaction does not involve the issue of new shares by M&Z plc. Instead, it reflects a transfer of existing M&Z plc shares that were previously held through Vadala Holdings Limited and are now held directly by the respective shareholders.
As such, the change has no impact on the Company’s issued share capital, business operations or strategic direction.
