HSBC Malta Funds Sicav plc to shareholders approve AGM resolutions ahead of EGM

Ordinary resolutions approved unanimously

HSBC Malta Funds SICAV plc has confirmed that all ordinary resolutions presented at its Annual General Meeting on 25 September 2026 were approved unanimously.

The SICAV is regulated by the Malta Financial Services Authority and licensed as a collective investment scheme.

Proposed name change not yet approved

Shareholders were also asked to consider extraordinary resolutions linked to the proposed change of the Company’s name to Credia Malta Funds SICAV plc.

The proposed change remains subject to the necessary regulatory approvals and completion of the sale by HSBC Continental Europe of its shareholding in HSBC Bank Malta to CrediaBank S.A.

A separate extraordinary resolution also proposed replacing the Company’s memorandum and articles of association to reflect the planned name change, ownership structure and related legal amendments.

The Company said the extraordinary resolutions were not adopted because only one of the two required majorities under Article 135(1) of the Companies Act was achieved.

Extraordinary General Meeting set for 5 October

The resolutions will now be put before shareholders again at an Extraordinary General Meeting on 5 October 2026 at 11:00. Notice with the details of the EGM has been sent to all shareholders of the fund.

The proposed amendments are particularly relevant to investors as they relate to the Fund’s name and constitutional documents in the context of the proposed HSBC Bank Malta ownership transaction.
