Bondholders approve proposals at 28 September meeting

D Shopping Malls Finance plc has confirmed that bondholders approved the resolutions presented at a meeting held on 28 September 2026.

The Company said the required quorum was reached, allowing the meeting to proceed in line with the provisions of its Company Admission Document. Bondholders attending either in person or by proxy voted in favour of the resolutions put before them.

The meeting followed an earlier announcement issued on 14 September outlining the reasons for convening bondholders.

Proposed changes relate to guarantee arrangements

The meeting concerned the Company’s €7.5 million 5.35% unsecured bonds due in 2028, which are traded on the Malta Stock Exchange’s Prospects MTF market.

Bondholders were asked to consider changes to the existing guarantee arrangements, including their possible substitution, replacement or supplementation. The proposals followed changes to the structure of a planned transaction affecting the arrangements supporting the bonds.

Resolutions receive required approval

The outcome enables the Company to move forward with the proposed arrangements set out in the documentation circulated ahead of the meeting, subject to the terms and procedures established under its Company Admission Document.
