Catena Media AGM Approves Key Governance Resolutions & Announces EGM Date

Catena Media plc has announced a series of governance and shareholder updates following its Annual General Meeting held in St Julian’s on 27 May 2026. Shareholders approved the company’s consolidated financial statements, directors’ report and auditor’s report for the financial year ended 31 December 2025, while also resolving not to declare a dividend for the year. The AGM confirmed a four-member board, with Erik Flinck re-elected as Chairman and Sean Hurley and Martin Zetterlund re-elected as directors. Seth Young was also elected as a new board member, while KPMG Malta was reappointed as auditor.

The company also approved a new incentive programme comprising up to 2,000,000 share options and warrants, as well as remuneration guidelines and the 2025 remuneration report. However, a proposed share buyback resolution obtained only one of the two required majorities and was therefore not adopted at the AGM.

As a result, Catena Media has convened an Extraordinary General Meeting for 30 June 2026 at its Ta’ Xbiex offices. Shareholders will be asked to vote again on authorising the company to acquire up to 7,877,444 of its own shares, representing no more than 10% of issued share capital.
