Interim company secretary resigns

BNF Bank plc announced on 21 August that Dr Jean Noel Cutajar had stepped down from his role as interim company secretary.

The change follows the Bank’s earlier company announcement, BNF42.

Bastion Corporate Services takes over role

BNF Bank appointed Bastion Corporate Services Limited, company registration number C93102, as company secretary with effect from 1 August 2026.

The Bank noted that Bastion Corporate Services holds a Class C authorisation from the Malta Financial Services Authority under the Company Service Providers Act, Chapter 529 of the Laws of Malta.

BNF also confirmed that there were no matters requiring disclosure under Capital Markets Rules 5.20.5 to 5.20.9 in connection with the appointment.

Governance role formally updated

The announcement relates to a change in the Bank’s corporate governance arrangements rather than its financial or operational performance.

The Company secretary supports the board and helps oversee key corporate-administration and statutory compliance requirements.

For investors, the main development is the appointment of a new entity to carry out the company-secretary function, together with confirmation that the provider is authorised by the MFSA to offer company services.
